Acceptable Use Policy

This Acceptable Use Policy (the "Policy") governs how you may use the products and services made available through candella.dev (collectively, the "Service"), operated by Lutz Consulting Group, LLC, a Nevada limited liability company doing business as Candella Labs ("Candella", "we", "us"). This Policy supplements the Candella Terms of Service at candella.dev/terms (the "Master Terms") and the Candella Copytrade Addendum at candella.dev/terms/copytrade (the "Addendum"). Capitalized terms used but not defined here have the meanings given in the Master Terms and the Addendum, including Service, Lead Trader, Follower, Mirroring, Manual Approval Mode, Automated Mode, and Sponsorship Code.

If there is a conflict between this Policy and the Master Terms or the Addendum with respect to prohibited conduct, this Policy is read together with them and the stricter prohibition controls. This Policy applies to everyone who uses the Service, including Followers and Lead Traders.

Candella is a technology and execution-software platform. It is not a registered investment adviser, broker-dealer, commodity trading advisor, or fiduciary. It exercises no investment discretion, makes no recommendations, performs no suitability evaluation, and never custodies your funds or has withdrawal access to your account. Trades are effected in your own brokerage account by your connected brokerage through SnapTrade, operated by Passiv Technologies Inc. This Policy does not change any of that; it sets the conduct rules for using the Service.

1. Prohibited Conduct for All Users

You may not, and may not permit anyone using your account to:

  • Use the Service for any unlawful, fraudulent, deceptive, or abusive purpose, or in violation of any securities law, tax law, anti-money-laundering law, sanctions program, or brokerage rule that applies to you.
  • Engage in market manipulation of any kind, including spoofing, layering, wash trading, front-running, marking the close, coordinated pumping, or any other manipulative or deceptive trading practice, whether through orders originated on the Service, orders Mirrored through the Service, or orders placed elsewhere in coordination with activity on the Service.
  • Trade on material non-public information or otherwise engage in insider trading.
  • Impersonate any person or entity, or misrepresent your identity, affiliation, professional credentials, licensing status, or trading history.
  • Use the Service on behalf of another person or entity without authorization, or use any brokerage account or funds that are not your own.
  • Access, use, or attempt to access another user's account, data, or connected brokerage.
  • Scrape, crawl, or harvest data from the Service without authorization; evade, disable, or circumvent rate limits, access controls, authentication, or security measures; or reverse engineer, decompile, or disassemble the Service or any part of it.
  • Probe, scan, overload, disrupt, or attack the Service, its infrastructure, or its users, including through denial-of-service attempts, injection, credential stuffing, malware, or unauthorized penetration testing.
  • Resell, sublicense, or otherwise commercialize the Service, or operate a competing copy-trading service using data obtained from the Service, without our written permission.
  • Solicit or induce other users to move their relationship, subscriptions, or payments off the Service in a manner that violates the Master Terms or the Addendum, or use the Service to recruit for such an off-platform arrangement in circumvention of those terms.
  • Share, sell, transfer, or publicly distribute your account credentials or any Sponsorship Code except as expressly permitted by the Addendum. Sponsorship Codes are issued to specific individuals; the Service is not a public marketplace and codes may not be distributed to attract a general audience of unspecified investors.

2. Additional Prohibited Conduct for Lead Traders

If you are a Lead Trader, the following also apply, in addition to the Lead Trader terms in the Addendum:

  • You may not publish, submit, or cause to be displayed any performance data that is manipulated, falsified, back-filled, simulated-but-presented-as-real, or cherry-picked. You may not selectively remove losing trades, losing days, losing weeks, or losing periods from any figure attributable to your trading. Broker-verified data shown on the Service is presented as it is, without curation of that kind.
  • You may not make claims to current or prospective Followers, on the Service or off it, about future profits, expected returns, win rates, or risk-adjusted returns, or otherwise guarantee, promise, or imply a "risk-free" or profitable outcome. Past performance is not indicative of future results, and any realized or historical figure is not typical: most users do not achieve exceptional results.
  • You may not misrepresent your identity, your trading history, your professional credentials, or the nature of your trading activity, and you may not operate a profile that conceals who is actually trading.
  • You may not use your Lead Trader status to steer Followers into off-platform billing or advisory arrangements that violate the Master Terms or the Addendum. You may separately bill your own followers off-platform, but you are solely responsible for that arrangement and for your own regulatory compliance; Candella is not a party to it and is not responsible for it. Candella earns flat platform and subscription fees only, never a share of trading profits or per-trade commissions.
  • You are responsible for any registration your activity requires as an investment adviser, broker-dealer, commodity trading advisor, or other regulated capacity. Candella does not file you with any regulator and does not assess whether your activity requires registration.

3. Integrity of Performance and Data

The Service reflects broker-verified activity and applies your configured rules mechanically. The Service functions as described when the platform is available and your configured rules are applied to the trades that occur, regardless of whether any trade, day, week, or month is profitable. Any conduct that falsifies the underlying data, misrepresents what the Service actually did, or is designed to make performance appear better than it was is a violation of this Policy even if it does not fit neatly into a category listed above.

4. Enforcement

We may investigate suspected violations of this Policy and may take any action we consider appropriate, in our sole discretion and with or without notice, including:

  • Issuing a warning.
  • Restricting, suspending, or disabling features, a Lead Trader profile, a Sponsorship Code, or account access.
  • Removing performance data or other content that violates this Policy.
  • Terminating your account under the termination provisions of the Master Terms.

These measures are cumulative and are in addition to any other remedy available to us. Nothing in this Policy obligates us to monitor conduct or to act on any particular violation, and our decision not to act in one instance does not waive our right to act in another.

We may preserve and disclose information, and may report activity, to law enforcement, regulators, brokerages, SnapTrade, or other affected parties where we believe in good faith that doing so is required by law or is reasonably necessary to investigate or prevent unlawful, fraudulent, or abusive activity, or to protect the Service or its users.

5. Reporting Violations

If you become aware of conduct that violates this Policy, contact us at the address below. We review reports but do not commit to any particular outcome or timeframe.

6. Future Assignment to Candella Inc

The Service is currently operated by Lutz Consulting Group, LLC. The Service is expected to be assigned to a successor entity, currently anticipated to be Candella Inc, upon that entity's formation. On assignment, this Policy will apply to the successor entity with the same scope, as described in the Master Terms.
