Auto-Execution Authorization

This Auto-Execution Authorization (this "Authorization") governs Automated Mode within Candella Copytrade. It supplements the Candella Terms of Service at candella.dev/terms (the "Master Terms") and the Candella Copytrade Addendum at candella.dev/terms/copytrade (the "Addendum"). Capitalized terms used but not defined here have the meanings given in the Addendum or the Master Terms.

The Service is operated by Lutz Consulting Group, LLC, a Nevada limited liability company doing business as Candella Labs ("Candella", "we", "us"). The Service is expected to be assigned to a successor entity, currently anticipated to be Candella Inc, upon that entity's formation, and this Authorization will continue to apply to the successor entity on the same terms.

This Authorization is presented separately and requires a separate, affirmative acknowledgment before Automated Mode can be enabled for any subscription. You do not accept this Authorization by accepting the Master Terms or the Addendum. If you do not separately acknowledge this Authorization, your subscriptions remain in Manual Approval Mode.

1. What Automated Mode Does

In Manual Approval Mode, every mirrored order is presented to you for review and confirmation before the Service submits it to your connected brokerage. Automated Mode changes that one behavior: when enabled for a subscription, mirrored orders for that subscription are submitted to your connected brokerage WITHOUT per-trade confirmation from you.

Nothing else about Mirroring changes. The Service still detects the Lead Trader's trade, applies your configured sizing and limits, and submits a corresponding order to your account. In Automated Mode it does so without pausing for your click.

2. This Is a User-Configured, Rules-Based Authorization, Not a Blanket Grant of Trading Authority

Automated Mode is rules-based and non-stochastic. The Service does not decide what to trade, when to trade, or how much to trade. It mechanically mirrors the Lead Trader's detected trades within the parameters you configure and consent to, and only within those parameters. It does not exercise judgment, form opinions, or deviate from your settings.

You are not handing Candella discretion over your account. You are authorizing a specific, bounded, mechanical behavior: mirror this Lead Trader's trades into my account, sized and capped the way I set. Any order that would fall outside the parameters you configured is not submitted under this Authorization. This is the load-bearing distinction: Automated Mode is a user-configured rule you switch on, not a grant of authority to trade your account at will.

3. Strictly Opt-In, Per Subscription, With Caps You Set First

Automated Mode is off by default and is enabled per subscription, never account-wide. Enabling it for one Lead Trader does not enable it for any other.

Before Automated Mode can be enabled for a subscription, you must set your own per-position and per-day caps for that subscription. These include, at minimum, a maximum size per position and a maximum aggregate exposure per day. The Service will not activate Automated Mode until you have configured these limits. Enabling requires an explicit, affirmative action by you in the Service interface: not a default-checked box, not a consent bundled into another flow.

The Service evaluates your caps before submitting any order in Automated Mode. An order that would exceed a cap you set is not submitted automatically. It is routed to Manual Approval Mode so you can decide, or it is dropped, as your settings direct.

4. Pause and Revoke at Any Time

You may pause or revoke Automated Mode for any subscription at any time, with immediate effect for new orders. After you revoke, new mirrored orders for that subscription return to Manual Approval Mode and are not submitted without your confirmation.

Revocation is forward-looking only. It does not cancel, reverse, close, or modify orders already submitted or positions already held in your account. Closing or adjusting an existing position is a separate action you take through your brokerage or through the Service.

5. Speed and Volume Risk

Automated Mode can act faster than you can. Mirrored orders may be submitted within seconds of the Lead Trader's trade, faster than you could review and intervene manually. A sequence of orders can be submitted in quick succession. Because there is no per-trade confirmation, you may not learn of a mirrored order until after it has executed, and losses can accrue quickly and before you act.

This speed is the point of Automated Mode and also its principal risk. Your caps limit exposure per position and per day, but within those caps the Service will act without waiting for you. Set your caps accordingly.

6. No Advisory, Brokerage, Custodial, or Fiduciary Relationship

Enabling Automated Mode does NOT create an investment-advisory, brokerage, custodial, or fiduciary relationship between you and Candella, or between you and any Lead Trader.

Candella is a technology and execution-software platform. It is not a registered investment adviser, broker-dealer, commodity trading advisor, or fiduciary. In Automated Mode it exercises no investment discretion, makes no recommendations, and performs no suitability evaluation. It never custodies your funds and never has withdrawal access to your account. The Service acts as your agent for the single limited purpose of submitting the orders you have authorized through your configured rules, and for nothing more.

Your connected brokerage, accessed through SnapTrade (operated by Passiv Technologies Inc.), is the regulated entity that effects every order in your own account. Your money and securities remain at your brokerage at all times. You are the principal. You bear all risk of the resulting positions and any losses.

A Lead Trader is an independent third party. A Lead Trader is not your fiduciary or investment adviser, owes you no duty of care or loyalty, and is not responsible to you for your losses. A Lead Trader may separately bill their own followers off-platform; Candella is not a party to and is not responsible for those off-platform billing arrangements or for a Lead Trader's own regulatory compliance.

7. Algorithmic and Automated-Strategy Lead Traders

Some Lead Traders are algorithmic or automated strategies whose orders are generated by software with no human judgment applied to any individual trade. If you enable Automated Mode for a subscription to such a Lead Trader, you acknowledge that:

  • Orders originate from software, not from a person deciding trade by trade.
  • Such a strategy may fire frequently, in bursts, or around the clock, including outside the hours you are watching.
  • The strategy is still bounded by the per-position and per-day caps you configured, and Automated Mode remains revocable by you at any time with immediate effect for new orders.

An algorithmic Lead Trader's software does not create any advisory or fiduciary relationship between you and that Lead Trader or between you and Candella. The caps you set and your ability to pause or revoke are your controls. Set and use them deliberately.

8. Fees

Candella earns flat platform and subscription fees. It never earns a share of your trading profits and never charges a per-trade commission. Enabling Automated Mode does not change how Candella is compensated. A Lead Trader's own separate, off-platform fees, if any, are between you and that Lead Trader.

9. No Guarantees

Automated Mode is a way of executing trades. It is not a way of making money.

  • Past performance is not indicative of future results.
  • Any performance figure shown for a Lead Trader or the Service is realized and historical and is NOT typical. Most users do not achieve exceptional results.
  • Broker-verified performance data is shown as recorded, without selectively removing losing trades or losing periods.
  • There is no guarantee, warranty, or promise that Automated Mode, any Lead Trader, or any subscription will be profitable. Nothing here is "risk-free."

The Service performs as described when the platform is available and your configured rules are mechanically applied, regardless of whether any given trade, day, week, or month is profitable. Profit or loss is a market outcome and is not a measure of whether the Service functioned as described.

10. Acknowledgment

By separately acknowledging this Authorization for a subscription and enabling Automated Mode, you confirm that you have read and understood it, that you have set your per-position and per-day caps, that you accept the speed and volume risk described in Section 5, and that you are authorizing a user-configured, rules-based mirroring behavior and not granting Candella discretion over your account. This Authorization is in addition to, and does not replace, the Master Terms and the Addendum.
